Terms of Service

These Terms of Service ("Terms") govern your access to and use of Hauly, available at hauly.net (the "Service"). Hauly ("we", "us", "our") is the operator of the Service. By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Hauly is a profit tracking and inventory management tool for resellers. It lets you log purchases, sales, sourcing locations, shipments, and related business data. Some features are limited to paid plans.

2. Eligibility and accounts

You must be at least 16 years old to use Hauly. You are responsible for the accuracy of the information you provide, for keeping your password secure, and for all activity that happens under your account. Notify us immediately at info@hauly.net if you suspect unauthorised use of your account.

3. Plans, billing, and refunds

Free plan. The Free plan is offered at no cost and is subject to the limits stated on the pricing page (currently up to 200 items). When you reach the item limit you can continue to view and manage existing items but cannot add new ones until you upgrade or remove items.

Pro plan. Pro is a paid subscription billed monthly or annually through Stripe. By subscribing you authorise us, via Stripe, to charge the applicable fee at the start of each billing period until you cancel. Prices are listed on the pricing page and may change with notice for future billing periods.

Cancellation. You can cancel anytime from your account settings. You will keep Pro access until the end of the current billing period and will not be charged again.

Refunds. Payments are non-refundable except where required by law or where we choose to grant a refund at our discretion. If you believe you have been charged in error, contact us at info@hauly.net.

Taxes. Where applicable, taxes such as VAT will be added to the price displayed.

4. Your data and content

You retain all rights to the data you put into Hauly (item details, photos, notes, and so on). You grant us a limited licence to host, store, transmit, and display that data solely so we can operate and improve the Service for you.

You are responsible for the legality of the content you upload. You must not upload content that infringes someone else's rights, contains illegal material, or violates any applicable law.

Public submissions. If you submit an item to Find of the Week, the information you provide (item name, prices, description, image, Instagram handle) will be publicly visible. By submitting, you confirm you have the right to share that information and you grant us permission to display it on the homepage and in marketing materials related to Hauly.

6. Third-party services

The Service relies on third parties including Supabase, Stripe, Vercel, OpenStreetMap, and Fontshare. Their availability and terms are outside our control. If a third-party service is unavailable, parts of the Service may be temporarily unavailable too.

7. Intellectual property

The Hauly name, logo, design, code, and all related materials are owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding without our prior written consent.

8. Termination

You can stop using the Service at any time and delete your account from settings. We may suspend or terminate your access if you breach these Terms, fail to pay, or if we are required to do so by law. On termination, sections of these Terms that by their nature should survive (such as intellectual property, disclaimers, and liability) will continue to apply.

9. Disclaimer

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any data or calculations will be accurate.

Hauly is a tracking and bookkeeping aid. It is not accounting, tax, financial, or legal advice. You are responsible for your own tax filings, business records, and legal compliance.

10. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of the Service. Our total liability to you for any claim relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) CAD $100.

Nothing in these Terms limits liability that cannot be limited under applicable law (such as liability for fraud, gross negligence, death, or personal injury caused by negligence).

11. Changes to the Service and these Terms

We may add, change, or remove features over time. We may also update these Terms. If a change is material we will let you know by email or through the Service. Continued use of the Service after a change means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any dispute will be subject to the exclusive jurisdiction of the courts located in British Columbia, Canada, except where you have non-waivable rights to bring a claim in your country of residence.
